Terms & Conditions

These Terms & Conditions govern access to Dr.Gero, including the web app at app.drgero.ai, the APIs, documentation, leaderboards, inference routing, dataset workflows, traces, and fine-tuning features.

1. Who we are

Dr.Gero is an AI evaluation, inference-routing, dataset, trace, and fine-tuning service provided by Higuera Ex Machina SL, a Spanish limited liability company with tax identification number ESB21770680 and registered address at Escultor Llimona 15, 08031 Barcelona, Spain ("Dr.Gero", "Higuera", "we", "us", or "our"). 2. Accepting these Terms

By creating an account, using the Service, or accessing the APIs, you agree to these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" means that organization.

If you have a separate signed agreement, AWS Marketplace private offer, AWS Marketplace order, order form, or enterprise contract with us, those terms control where they conflict with these Terms.

3. The Service

Dr.Gero helps teams evaluate language-model performance, compare and route models, ingest or connect datasets, inspect traces and logs, create API tokens, schedule leaderboard runs, and fine-tune models. Features may include integrations with model providers, dataset providers, cloud infrastructure, billing platforms, and customer-provided model endpoints.

We may improve, add, remove, suspend, or modify features as the Service evolves. We will try to avoid material disruption to active paid customers, but beta, preview, free, and experimental functionality may change at any time.

4. Accounts, workspaces, and security

You are responsible for maintaining the confidentiality of your account, workspace invitations, API tokens, provider keys, and credentials. You must promptly revoke credentials or notify us if you suspect unauthorized access. You are responsible for activity under your account and workspace, except where caused by our breach of these Terms.

You must provide accurate account, billing, and contact information and keep it current. We may use your account email for service, security, billing, and legal notices.

5. Customer Content and model assets

"Customer Content" means prompts, datasets, expected answers, rubrics, labels, fine-tuning files, model metadata, inference inputs and outputs, traces, logs, and other content you submit to or generate through the Service.

As between you and Dr.Gero, you retain ownership of Customer Content. You grant us the rights necessary to host, copy, process, transmit, transform, evaluate, fine-tune, store, display, and otherwise use Customer Content to provide, secure, support, and improve the Service for you and your workspace.

We will not use Customer Content to train general-purpose models for other customers unless you instruct us to do so or separately agree. Fine-tuned models, outputs, and artifacts may depend on base-model, provider, open-source, or third-party terms; those terms may affect ownership, usage rights, export, or distribution.

6. Your responsibilities for data and outputs

You are responsible for ensuring you have all rights, permissions, notices, and lawful bases needed to submit Customer Content and to use the outputs. You should not submit highly sensitive, regulated, or special-category personal data unless your use case has been reviewed and covered by a written agreement with us.

AI systems can produce inaccurate, incomplete, offensive, unsafe, or unexpected results. Dr.Gero provides evaluation and routing tools, but you are responsible for testing, monitoring, validating, and deciding how to use outputs in your product or business.

7. Third-party services and integrations

The Service may connect to third-party services such as model providers, dataset hosts, fine-tuning infrastructure, authentication, cloud hosting, payment processors, marketplaces, and customer-supplied model endpoints. Your use of those services may be subject to their own terms, privacy notices, data processing terms, rate limits, and fees.

If you configure a third-party integration, provide an API key, or select a model provider, you authorize us to transmit Customer Content and instructions to that integration as needed to provide the Service.

8. Acceptable use

You must not use the Service to:

  • violate laws, regulations, third-party rights, provider terms, or export-control restrictions;
  • upload malware, attempt unauthorized access, bypass limits, probe security, or disrupt the Service;
  • process data you are not allowed to process or disclose through the Service;
  • create or deploy systems that create unlawful discrimination, deception, harassment, or harm;
  • use outputs as the sole basis for high-impact decisions without appropriate human review and safeguards; or
  • reverse engineer, scrape, resell, or abuse the Service except as permitted by law or by our written agreement.

9. Plans, credits, fees, and billing

Free, pay-as-you-go, and enterprise plans may have different limits, quotas, features, support levels, and billing methods. Usage-based fees may include API requests, inference, auto-selection, fine-tuning, storage, provider costs, or other metered activity described in the app, documentation, order form, AWS Marketplace offer, or checkout flow.

Pay-as-you-go balance. Pay-as-you-go use is based on pre-paid account or workspace credits ("Credits") that you buy by adding balance in the app. Credits are linked to your account or workspace and are deducted as you use paid Dr.Gero features. Before you buy Credits, the checkout flow will show the amount, any applicable fees, and the payment method to be charged. You are responsible for monitoring your balance, budget settings, usage history, and configured API keys or integrations.

Credit validity. Purchased Credits may be used for twelve (12) months after the purchase date. Unused purchased Credits expire three hundred sixty-five (365) days after purchase unless applicable law or a separate written agreement requires a different period. Free, trial, promotional, grant, or goodwill Credits may have shorter validity periods, may be subject to additional limits, and have no cash value.

Refunds for pay-as-you-go Credits. Refunds are available only for unused purchased Credits and must be requested within twenty-four (24) hours from the time the transaction was processed. To request a refund, email drgero@higuera.ai with your account email, workspace name or ID, transaction details, and the amount requested. If no eligible refund request is received within the 24-hour window, unused Credits become non-refundable. Used Credits are not refundable. Payment-processing, transaction, platform, marketplace, currency-conversion, and similar fees are non-refundable unless applicable law requires otherwise. Approved refunds are returned to the original payment method where possible and may take several business days to appear.

Auto top-up. If you enable an automatic top-up or auto-recharge feature, you authorize us and our payment provider to charge your selected payment method when your balance falls below the threshold you configure. You may update or cancel auto top-up through the account or billing settings where that feature is available.

Enterprise through AWS Marketplace. Enterprise purchases, private offers, committed use, custom discounts, dedicated limits, contractual SLAs, and enterprise support are handled through AWS Marketplace. AWS Marketplace purchases are governed by the applicable AWS Marketplace terms, the product listing, the accepted offer or private offer, any applicable marketplace customer terms, and any negotiated agreement with us. Marketplace billing, taxes, cancellations, refunds, and billing adjustments are handled through AWS Marketplace workflows and may differ from pay-as-you-go balance purchases.

You authorize us, our payment providers, and applicable marketplaces to charge fees and taxes. You are responsible for third-party provider costs created by integrations or API keys you configure. We may suspend paid features for non-payment, failed charges, chargebacks, suspected fraud, security incidents, abuse, or to prevent unexpected budget overruns.

10. Confidentiality and security

Each party may receive non-public business, technical, or security information from the other. The receiving party must use reasonable care to protect confidential information and use it only for the relationship under these Terms. We maintain administrative, technical, and organizational measures designed to protect the Service and Customer Content.

11. Privacy and data processing

Our Privacy Policy explains how we handle personal data. Our Data Processing Addendum applies when we process personal data in Customer Content on your behalf as a processor or service provider.

12. Suspension and termination

You may stop using the Service at any time. If you terminate your account, you remain responsible for all outstanding fees and charges incurred before termination. Unused Credits are handled under Section 9 and are not refundable outside the 24-hour refund window unless applicable law or a separate agreement requires otherwise.

We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay, initiate an unresolved chargeback, or use the Service in a way that may harm Dr.Gero, other customers, or third parties. If we terminate or suspend your access because of breach, fraud, abuse, payment dispute, or legal risk, unused Credits will not be refunded unless applicable law requires otherwise. If we discontinue the Service or terminate your paid account for convenience, we will use reasonable efforts to refund any unexpired purchased Credits remaining in your account through the original payment method where possible. Upon termination, your right to use the Service ends, but provisions that by their nature should survive will survive.

13. Intellectual property and feedback

We retain all rights in the Service, software, documentation, designs, workflows, know-how, and platform technology. You may provide feedback or suggestions, and we may use them without restriction or obligation to you.

14. Disclaimers

The Service is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee any particular cost reduction, latency, benchmark score, accuracy, model behavior, or business outcome.

15. Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Our aggregate liability for all claims relating to the Service is limited to the amounts you paid to Dr.Gero for the Service in the twelve months before the event giving rise to the claim, or EUR 100 if you have not paid for the Service, except where a higher liability cap is required by law or a signed agreement.

16. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service, by email, or by updating this page. Your continued use of the Service after changes take effect means you accept the updated Terms.

17. Governing law and disputes

The governing law and forum in your AWS Marketplace offer, order form, signed agreement, or other enterprise agreement apply where stated. Otherwise, these Terms are governed by the laws of Spain, excluding conflict-of-law rules, and the courts of Barcelona, Spain will have jurisdiction, unless mandatory consumer, marketplace, or local law gives you other rights.
